MCP Distribution Addendum (AI assistants)
Last updated: October 22, 2026
v1.0
This addendum governs the Bota “AI assistants” channel: third-party artificial intelligence assistants, such as ChatGPT, Claude or Meta AI, offering the customer’s fleet and closing bookings on its behalf through Bota. Bota is operated by Zentia Labs LLC.
It only applies to a customer that turns the channel on in its panel and accepts this addendum. It supplements the Bota terms and conditions; anything this addendum does not cover is governed by the terms.
1. What the customer authorizes
- By turning the channel on, the customer authorizes Zentia Labs to offer, under its trade name, its locations, availability, prices and conditions through third-party AI assistants and those assistants’ directories.
- It also authorizes Bota to handle, on its behalf, the bookings, status checks and cancellations requested by the users of those assistants, under the same rules as in its other channels.
- The price and conditions the end user sees are the same as in the customer’s web chat. Bota charges the end user nothing and takes no payments inside the assistant.
2. Commission
For each booking originated in the AI assistants channel, the success commission due under the terms is increased by one (1) percentage point. With the standard 1.9% commission, this channel’s commission is 2.9% of the gross booking amount.
A booking is originated in this channel when it is confirmed through Bota’s server for AI assistants. Accrual, monthly settlement, subtractions for cancellations or no-shows and currency conversion follow the rules in the terms.
3. Third-party assistants and directories
- AI assistants and their directories are third-party services that Zentia Labs does not control. Zentia Labs does not guarantee that an assistant will show the customer’s offer, nor in what position or with what wording.
- If a third party changes its terms or withdraws access, Zentia Labs may stop offering the channel in that assistant without this being a breach.
4. Personal data
The driver data an assistant sends to book is processed like that of any other Bota channel: the customer is the controller and Zentia Labs its processor. The AI assistant processes its user’s data on its own account and under its own terms.
5. Activation and termination
- The channel is turned on from the panel by accepting this addendum. The accepted version, the date and the person who accepted it are recorded.
- The customer may turn the channel off at any time, effective for later requests. Bookings already confirmed proceed and their commission accrues under this addendum.
- Zentia Labs may amend this addendum with prior notice. If the customer does not accept the new version, the channel is turned off.
6. Governing law and dispute resolution
These terms are governed by the laws of the State of Wyoming (United States of America), without prejudice to mandatory rules applicable to the customer by reason of its domicile.
The parties will resolve any dispute arising out of or relating to the service through the following mandatory, tiered procedure. No party may move to a later stage without first having exhausted the previous ones.
- (a) Direct negotiation: the affected party will notify the other in writing of the dispute. The commercial representatives of both parties will negotiate in good faith for thirty (30) calendar days from the notification.
- (b) Mediation: failing agreement, the parties will submit the dispute to mediation under the Mediation Rules of the International Chamber of Commerce (ICC), seated in Madrid, in Spanish, for a maximum of thirty (30) days from the appointment of the mediator. Mediation costs will be shared 50/50.
- (c) Arbitration: disputes with an amount in controversy exceeding fifty thousand US dollars (USD 50,000) that are not resolved through (a) and (b) will be finally submitted to arbitration under the ICC Rules of Arbitration, before a sole arbitrator, seated in Madrid, in Spanish. The award will be binding and enforceable under the 1958 New York Convention. The parties may voluntarily submit to arbitration disputes equal to or below USD 50,000 by written agreement.
- (d) Residual jurisdiction: only disputes equal to or below USD 50,000 that have not been resolved through (a) and (b), and for which the parties have not agreed to voluntarily submit to the arbitration in (c), will be exclusively submitted to the competent courts of the State of Wyoming (United States of America).
- (e) Interim relief: either party may seek urgent interim measures before the competent courts of the other party’s domicile without waiving the procedure agreed herein.
